Item 5.03
Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On November 12, 2019, we filed a Certificate of Change of Name with the Province of British Columbia Registrar of Companies to amend our Notice of Articles and change our corporate name from EPHS Holdings, Inc. to SKYE Life Ventures Ltd., effective November 12, 2019. A copy of the amended Notice of Articles is attached as Exhibit 3.1 hereto and incorporated by reference.
In connection with our name change, our board of directors amended our Articles to reflect the corporate name SKYE Life Ventures Ltd., also effective on November 12, 2019. No other changes were made to our Articles. A copy of the amended Articles reflecting this amendment is attached as Exhibit 3.2 hereto and incorporated by reference.
Our common stock will continue to trade on the OTCQB Stock Market under the ticker symbol “STNN”. Outstanding stock certificates for shares of the Company are not affected by the name change; they continue to be valid and need not be exchanged.
