1. Reflects 155,194 shares withheld by issuer at the market price of $14.41 per share less an exercise price of $10.37 per share to fund the cashless exercise of 184,049 stock options and to cover the associated tax liability.

2. Represents 458,513 shares of Common Stock, 157,476 restricted stock units and 94,590 performance stock units that are subject to forfeiture and vesting.

3. Held by Roehm Living Trust.
