Explanation of Responses:

1. The option was granted under the company's 2004 Stock Incentive Plan and vests in four equal annual installments beginning on the first anniversary of the grant date.

2. The amount corrects a clerical error in the reporting person's original Form 3 by reflecting the exercise of options prior to the reporting person becoming a reporting person that was not reflected in the original Form 3.
