Explanation of Responses:

1. Shares are issuable as a result of satisfaction of the performance threshold for 2024 under restricted stock unit awards. Organization and Executive Compensation Committee certification of the satisfaction of the performance threshold occurred on the transaction date.

2. Includes 164 time-based RSUs granted under Issuer's Long Term Incentive Plan. The RSUs vest in two installments: 104 shares on March 1, 2025 and 60 shares on March 1, 2026.

3. Shares are issuable as a result of satisfaction of the performance threshold for 2024 under restricted stock unit awards, and credited to reporting person's account under Northwest Natural Gas Company's Deferred Compensation Plan for Directors and Executives pursuant to a prior election. Organization and Executive Compensation Committee certification of the satisfaction of the performance threshold occurred on the transaction date.

4. Shares have been credited to the reporting person's account under Northwest Natural Gas Company's Deferred Compensation Plan for Directors and Executives.

5. Shares held in reporting person's account under Northwest Natural Gas Company's Retirement K Savings Plan as of February 14, 2025.
