Explanation of Responses:

1. On June 15, 2020, the reporting person was granted 354,545 restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the registrant's common stock. The restricted stock units vest ratably on each of the first three anniversaries of the grant date.

2. Represents the number of shares of common stock withheld by the issuer to satisfy the tax withholding obligations of the reporting person in connection with the vesting of 118,181 restricted stock units reported in Table II below.

3. Restricted stock units convert into common stock on a one-for-one basis.

4. On June 15, 2021, the reporting person was granted 214,797 restricted stock units. Each restricted stock unit represents a contingent right to receive one share of the registrant's common stock. The restricted stock units will vest ratably on each of the first three anniversaries of the grant date.
