Explanation of Responses:

1. Yanming Liu is the managing member of Greenland Asset Management Corporation. Consequently, Mr. Liu may be deemed the beneficial owner of the securities held by Greenland Asset Management Corporation and has sole voting and dispositive control over such securities.

2. The rights owned by the reporting person automatically converted into an aggregate of 26,000 ordinary shares upon the closing of that business combination (the "Business Combination") on October 24, 2019 pursuant to that certain share exchange agreement, dated as of July 12, 2019, by and among the registrant, Zhongchai Holding (Hong Kong) Limited, Greenland Asset Management Corporation and Cenntro Holding Limited.
