Explanation of Responses:

1. Represents 43,933 shares certified as earned with respect to an award of performance-based restricted stock units ("PRSUs") granted on May 26, 2021, net of 19,771 shares withheld by the Issuer for payment of the tax liability incurred on vesting of such shares. The Issuer's Board of Directors, on the recommendation of the Compensation Committee, certified the achievement of the applicable performance metrics and goals on February 15, 2024 and the PRSUs vested, in accordance with their terms, on February 22, 2024.
