1. Each phantom stock unit is the economic equivalent of one share of the Issuer's common stock.

The reported phantom stock units were acquired under the Kimberly-Clark Corporation Supplemental Retirement 401(k) and Profit Sharing Plan and are to be settled in cash following t6he reporting person's termination of employment with the Issuer. The reporting person may transfer the value of his phantom stock units into an alternative investment account at any time.
