INFORMATION CONTAINED IN THIS FORM 6-K REPORT
On July 14, 2023, we amended our credit facility (the “Credit Facility”) with an affiliate of Madryn Asset Management, LP (“Madryn”) (the “Eleventh Credit Facility Amendment”) to lower our minimum liquidity covenant from $3,000,000 to $300,000 for the period from July 14, 2023 to July 21, 2023 (the “Minimum Liquidity Covenant Relief”). The Eleventh Credit Facility Amendment also extends the due date for the Company’s interest payment due under the Credit Facility to July 21, 2023. The Eleventh Credit Facility amendment further extends the period during which the Minimum Liquidity Covenant Relief applies and the interest payment deferral that were afforded to the Company in prior amendments.
We expect to need an additional amendment to extend the Minimum Liquidity Covenant Relief and the interest payment deferral following the expiry of the relief offered under the Eleventh Credit Facility Amendment on July 21, 2023. We can provide no assurances that we will be able to successfully obtain additional amendments to our Credit Facility on terms acceptable to the Company, or at all.
