Explanation of Responses:

1. The price reported in Column 4 represents a weighted average sales price of $57.159. These shares were sold in multiple transactions at prices ranging from $56.95 to $57.25, inclusive. The reporting person undertakes to provide to Dell Technologies Inc. (the "Issuer"), any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each price within the ranges set forth in this footnote.

2. On November 1, 2021, the Issuer completed a special distribution of all of the shares of common stock of its former subsidiary, VMware, Inc., that it beneficially owned to its stockholders on a pro rata basis (the "Transaction"). In connection with the Transaction, the Issuer implemented an equitable adjustment to outstanding equity awards held by participants in the Issuer's 2013 Stock Incentive Plan in accordance with the terms of the plan. As a result, the 72,179 restricted stock units ("RSUs") previously reported as beneficially owned by the reporting person were adjusted and the reporting person now beneficially owns 142,055 RSUs.
