Explanation of Responses:

1. This reported transaction involved the reporting person's grant of 16,686 restricted stock units ("RSU"), which shall fully vest upon the earlier of the one (1) year anniversary of the grant date or on the day prior to Loop Industries, Inc.'s (the "Company") next annual meeting of stockholders occurring after the grant date, provided that the Reporting Person continues to serve as a non-employee director through the applicable vesting date. Each RSU represents a contingent right to receive one share of the Company's common stock.

2. The reporting person has reported previous awards of RSUs under Table II of Form 4. The total reported in Column 5 includes: (i) the 16,686 newly awarded RSUs, (ii) 74,605 RSUs that had been previously reported in Table II, and (iii) 11,695 shares of common stock.
