Explanation of Responses:

1. This Form 4 is being voluntarily filed to report the moving of RSU awards previously reported in Table I to Table II. No other transactions are being reported in this Form 4.

2. The total shares reported as directly held in Table I, Column 5 of this Form 4 reflect a decrease of 4,019 shares representing unvested restricted stock units that were previously reported in Table I. These restricted stock units are now reported in Table II of this Form 4.

3. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

4. The RSUs will vest in twelve equal quarterly installments over three years, with a vesting commencement date of December 5, 2018, in each case subject to the reporting person being a service provider through each such date.

5. The RSUs do not expire; they either vest or are canceled prior to vesting date.
