Explanation of Responses:

1. The options were granted on April 16, 2018 upon Ms Bartel's appointment as Chief Financial Officer with an exercise price equal to the average of the high and low price on the date of grant. One third (1/3) of the options vest one year from the date of the grant with the remainder vesting ratably over the following two years.
