Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard.
On July 12, 2023, The Nasdaq Stock Market LLC (“Nasdaq”) notified Sharps Technology, Inc. (the “Company”) that the bid price of its common stock had closed at less than $1.00 per share over the previous 30 consecutive business days, and, as a result, the Company was no longer in compliance with Nasdaq Listing Rule 5550(a)(2) (the “Nasdaq Rule”). In accordance with Listing Rule 5810(c)(3)(A), the Company was provided 180 calendar days, or until January 8, 2024, to regain compliance with the Rule. Subsequently, on January 16, 2024, the Company was provided an additional 180 calendar day compliance period, or until July 8, 2024, to demonstrate compliance. Pursuant to Nasdaq’s letter on July 9, 2024, the Company has not regained compliance with Listing Rule 5550(a)(2). Accordingly, its securities will be delisted from the Nasdaq Capital Market unless the Company requests a hearing and appeals Nasdaq’s determination by July 16, 2024, the trading of the Company’s common stock and warrants will be suspended at the opening of business on July 18, 2024.
If the Company does not request a hearing, Nasdaq will complete the delisting by filing a Form 25-NSE Notification of Delisting with the U.S. Securities and Exchange Commission (the “SEC”) after applicable appeal periods have lapsed.
The Company will be filing a hearing request before the deadline. In the interim, the Company expects its common stock and warrants will remain listed on NASDAQ under its existing symbols, “STSS” and “STSW” while it awaits the hearing.
