Explanation of Responses:

1. The reported shares are comprised of (i) 140,625 restricted stock units ("RSUs"), which will vest quarterly through April 1, 2022; (ii) 16,194 RSUs, 25% of which will vest on March 1, 2020 and the remainder will vest quarterly thereafter; and (iii) 42,485 RSUs, 25% of which will vest on January 1, 2021 and the remainder will vest quarterly thereafter. The RSUs will vest subject to the Reporting Person's continued service to the Company through each vesting date.
