Explanation of Responses:

1. Inducement grant comprised of restricted stock units ("RSUs") that are converted into shares of common stock on a 1:1 basis upon time based vesting. 40% of the RSUs vest on the 1-year anniversary of the grant date, an additional 40% of the RSUs vest on the 2-year anniversary of the grant date, and the remaining 20% of the RSUs vest on the 3-year anniversary of the grant date, in each case subject to the grantee's continued employment with the company.

2. Inducement grant comprised of stock options to purchase shares of common stock subject to time lapse vesting. 25% of the stock options vest on the 1-year anniversary of the grant date and the remaining 75% of the stock options vest in equal monthly installments over the subsequent 3 years to the 1-year anniversary of the grant date, with each installment vesting subject to the grantee's continued employment with the company.
