Explanation of Responses:

1. The shares of Common Stock were issued as merger consideration to BCHI Holdings LLC ("BCHI") with respect to the merger of Birch Communications Holdings Inc. with and into Fusion BCHI Acquisition LLC, a wholly-owned subsidiary of the Issuer. The Reporting Person is a member of BCHI and may be deemed to beneficially own the shares of Common Stock held by BCHI to the extent set forth in this report because he has voting power over such shares. The reporting person disclaims beneficial ownership except to the extent of the reporting person's pecuniary interest.

Remarks:

All share amounts reflect the 1-for-1.5 reverse stock split effected by the Issuer on May 4, 2018.
