Item 7.01 | Regulation FD Disclosure. |
On September 20, 2022, SolarWinds Holdings, Inc. (the “Borrower”), an indirect, wholly owned subsidiary of SolarWinds Corporation (the “Company”) made a voluntary prepayment in the amount of $300.0 million under its First Lien Credit Agreement, dated as of February 5, 2016, by and among the Borrower, SolarWinds Intermediate Holdings I, Inc., the other guarantors party thereto, Credit Suisse AG, Cayman Islands Branch, as administrative agent and collateral agent, Goldman Sachs Lending Partners LLC, Credit Suisse Securities (USA) LLC, Macquarie Capital (USA) Inc. and Nomura Securities International, Inc., as joint lead arrangers and joint bookrunners, Goldman Sachs Lending Partners LLC, as syndication agent, and Goldman Sachs Lending Partners LLC, as documentation agent (as amended, restated, amended and restated, supplemented or otherwise modified from time to time, the “Credit Agreement”). Following the prepayment, $1.6 billion remains outstanding under the Credit Agreement.
