1. Reflects the grant of stock options to purchase shares of common stock of the Issuer under the Issuer's Incentive Compensation and Stock Plan (the "Plan"). The stock options are scheduled to vest and become exercisable in full on the third anniversary of the date of grant, subject to the terms of the Plan and the applicable award agreement issued thereunder. The stock options will expire on the tenth anniversary of the date of grant.
