Explanation of Responses:

1. Represents shares withheld to cover taxes incurred in connection with the settlement of the performance share awards that vested February 22, 2023.

2. These restricted stock units were granted on February 25, 2020 and vested as follows: 33% on the first and second anniversary of the grant date and the remaining 34% on the third anniversary of the grant date. Each restricted stock unit represents a contingent right to receive one ordinary share of the Issuer.
