Item 1.01. Entry into a Material Definitive Agreement.
On September 9, 2019, Eidos Therapeutics, Inc. (“Eidos”), a subsidiary of BridgeBio Pharma, Inc. (the “Company” and together with Eidos, “BridgeBio”) entered into a license agreement (the “License Agreement”) with Alexion Pharma International Operations Unlimited Company, a subsidiary of Alexion Pharmaceuticals, Inc. (together, “Alexion”) to develop and commercialize BridgeBio’s product candidate,BBP-265 (AG10), in Japan.
Additionally, on September 9, 2019, Eidos and Alexion entered into a Stock Purchase Agreement pursuant to which Eidos sold to Alexion 556,173 shares of Eidos’ common stock, par value $0.001 per share, for an aggregate purchase price of approximately $25 million.
Under the terms of the License Agreement, Eidos has granted Alexion an exclusive license to certain of Eidos’ intellectual property rights to develop, manufacture and commercializeBBP-265 (AG10) in Japan. In consideration for the license grant, Eidos is entitled to receive an upfront payment of $25 million, with the potential for an additionalone-time payment of $30 million subject to the achievement of a regulatory milestone. In addition, Eidos is entitled to receive royalties in the low double-digits on net sales by Alexion ofBBP-265 (AG10) in Japan. The royalty rate is subject to reduction if Alexion is required to obtain intellectual property rights from third parties to develop, manufacture or commercializeBBP-265 (AG10) in Japan, or upon the introduction of generic competition into the market.
Unless earlier terminated, the License Agreement will expire upon the later of the expiration of thelast-to-expire valid claim under any licensed patents coveringBBP-265 (AG10) in Japan or the tenth anniversary of the first commercial sale ofBBP-265 (AG10) in Japan. Either party may terminate the License Agreement in the event of a material breach or insolvency of the other party. Additionally, Alexion may terminate the License Agreement for convenience upon at least 180 days prior written notice, and Eidos may terminate the License Agreement in the event Alexion ceases development or commercialization ofBBP-265 (AG10) under certain circumstances or challenges the validity or enforceability of Eidos’ patent rights.
