Title of each class of securities issued pursuant to Regulation A
On September 24, 2021, Mo Mischief, the Underlying Asset of Series Mo Mischief, was entered into a claiming race. Mo Mischief was claimed and thereby sold for $25,000, the listed claiming price. In addition, Mo Mischief won the claiming race and thus earned net race earnings from the race a portion of which are revenues to Series Mo Mischief.
As a result of Mo Mischief being claimed and sold, My Racehorse CA LLC (the “Company”) plans to distribute to members of Series Mo Mischief such member’s pro rata share of all of the remaining assets (which only consist of cash, including the race winnings from the claiming race) of Series Mo Mischief, after accounting for (i) (a) the proceeds from the sale of Mo Mischief, plus (b) the remaining balance of unused insurance and unused cash reserves for upkeep fees, training, and prepaid expenses, if any, (ii) less related fees, liabilities, and expenses, including but not limited to a due diligence fee, management fee, and offering expenses, if any, owed to the Company’s manager, Experiential Squared, Inc. (the “Manager”), in connection with operating Series Mo Mischief (collectively, the “Expenses”).
The Company intends to remit such distributions within sixty (60) days from the date of this Current Report on Form 1-U (the “Current Report”).
After making the distribution payment to members of Series Mo Mischief, net of any and all Expenses, the Manager intends to terminate and wind up Series Mo Mischief because Series Mo Mischief would no longer have any assets or liabilities.
