Explanation of Responses:

1. Restricted stock units ("RSUs") representing a contingent right to receive common stock, granted pursuant to Issuer's 2021 Equity Incentive Plan, dated February 4, 2021 (the "Plan").

2. RSUs are a common stock equivalent that may be settled solely by delivery of an equal number of shares of Issuer's common stock. They vest 25% on each anniversary of the grant date and will be fully vested on February 15, 2028.

3. Received pursuant to the Plan. The options will vest 25% upon each anniversary of February 15, 2024, the vesting commencement date, until the fourth anniversary of the vesting commencement date on February 15, 2028.
