1. Each restricted stock unit ("RSUs") represents a contingent right to receive, upon vesting, one share of common stock, par value Euro 0.01 per share, of Frank's International N.V.

2. The 30,349 RSUs reported on this Form 4 will vest ratably in three annual installments beginning on February 19, 2020.

3. Also consists of (i) 16,900 RSUs that will vest ratably in three annual installments beginning on February 23, 2019, and (ii) 6,667 RSUs that will vest 50% on May 1, 2019 and 50% on May 1, 2020.
