Explanation of Responses:

1. The shares were acquired pursuant to a restricted stock unit award under the 2018 Stock Option and Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units vest in full on the date 18 months after January 21, 2020, so long as the reporting person remains an employee or other service provider of the Company on such date.

2. This option shall become exercisable in equal monthly installments over four years following January 21, 2020, so long as the reporting person remains an employee or other service provider of the Company on such dates.
