Explanation of Responses:

1. Performance Share Units awarded under Issuer's Long-Term Incentive Plan on February 8, 2016; converted into shares of Common Stock upon vesting of Performance Share Units and certification of performance results by the Board.

Remarks:

The Form 3 originally filed on July 11, 2018 inadvertently omitted ownership of 8,067 shares owned by the reporting person, which also were omitted from the Form 4 filed subsequently by the reporting person on February 12, 2019. The Performance Share Units on Table II were awarded on February 8, 2016, and are included in this amendment solely for technical purposes of this filing.
