2. Shares used to satisfy tax withholding obligations associated with the vesting of goal-based shares awarded under the Dominion Energy, Inc. 2014 Incentive Compensation Plan in a transaction exempt under Rule 16(b)-3, for which satisfaction of performance criteria has been determined.

Remarks:

The Compensation, Governance and Nominating Committee of Dominion Energy, Inc. determined the number of goal-based shares earned on January 24, 2019, which goal-based shares were settled, and taxes withheld, the following day, January 25, 2019.
