| 1. The Reporting Person owns 42.165% of the outstanding equity interests of SW Chrysalis, LLC, a Delaware limited liability company, and is its Co-President and Chief Operating Officer. On April 16, 2019, SW Chrysalis, LLC distributed all of its 1,500,000 Common Shares of the Issuer to its members pro rata in proportion to their respective equity interest percentages, in exchange for no consideration. As a result of such distribution, the Reporting Person now directly beneficially owns 632,475 Common Shares of the Issuer. |
