Pursuant to Rule 477 of Regulation C of the Securities Act of 1933, as amended (the “Act”), Potnetwork Holdings Inc. (the “Company”) hereby respectfully applies to the Securities and Exchange Commission (the “Commission”) for consent to withdraw the Company’s Registration Statement (File No. 000-55969) on Form 10-12G filed with the Commission on October 15, 2018 (the “Registration Statement”), together with all exhibits thereto, effective as of the date hereof or at the earliest practicable date hereafter.
The Company believes that the withdrawal of the Registration Statement is consistent with the public interest and the protection of investors, as contemplated by Rule 477. Accordingly, we request that the Commission issue an order granting the withdrawal of the Registration Statement as soon as possible.
