Explanation of Responses:

1. Initial award of restricted shares of common stock in accordance with the Independent Director Compensation Policy adopted pursuant to the 2013 Equity Incentive Plan. These restricted shares vest over a four-year period, at a rate of twenty-five percent (25%) on each anniversary of the date of grant.

2. Prorated annual retainer award of shares of common stock awarded in accordance with the Independent Director Compensation Policy adopted pursuant to the 2013 Equity Incentive Plan.
