Explanation of Responses:

1. The reported sale was effectuated pursuant to a Rule 10b5-1 trading plan adopted by the reporting person on December 11, 2019. The sale is intended to cover withholding taxes resulting from vesting of restricted stock awards previously reported under Table I.

2. The reported price is a weighted average price. The shares were sold in multiple transactions at prices ranging from $1.09 to $1.16, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price that was included in the calculation of the weighted average price.
