Explanation of Responses:

Reflects the grant of restricted stock units under the Issuer's Incentive Compensation and Stock Plan (the "Plan"), which are scheduled to vest 50% on each of the third and fourth anniversaries of the date of grant, subject to the terms of the Plan and the applicable award agreement issued thereunder.

2. Reflects the grant of stock options to purchase shares of common stock of the Issuer under the Plan. The stock options are scheduled to vest and become exercisable 50% on each of the third and fourth anniversaries of the date of grant, subject to the terms of the Plan and the applicable award agreement issued thereunder. The stock options will expire on the tenth anniversary of the date of grant.
