Explanation of Responses:

1. Award of Performance Stock Units ("PSUs"). 1/3 of the PSUs have vested on December 19, 2022 (one week after the "Achievement Date" of December 12, 2022). 1/3 of the remaining shares will vest on the one year anniversary of the Achievement Date and the remaining 1/3 will vest on the two year anniversary of the Achievement Date, subject to Mr. Hickey's continuous service.

2. Represents shares sold by the Company to satisfy the tax withholding obligation associated with the vesting of a portion of the PSUs referenced in Footnote 1.
