Represents 3,824 shares deemed to have been earned by the Compensation Committee of the Board of Directors on July 26, 2021, with respect to the first tranche of the Performance Unit Award granted to the reporting person on August 15, 2021 under the Kennametal 2020 Stock and Incentive Plan (the "2020 Performance Unit Award".) The vesting and payout of these shares remains subject to the reporting person's continued employment with the Company through August 15, 2023.
