Explanation of Responses:

1. This award was granted under the Vapotherm, Inc. Amended and Restated 2018 Equity Incentive Plan in the form of restricted stock units. The restricted stock units vest with respect to approximately one-third of the underlying shares on each of the one-year, two-year and three-year anniversaries of the grant date, subject to the Reporting Person's continued service as an employee or other service provider to the Issuer through the vesting dates.

2. Includes 21,784 shares that will be issued over time upon vesting pursuant to restricted stock units granted under the Vapotherm, Inc. 2018 Equity Incentive Plan.

3. This option was granted under the Vapotherm, Inc. Amended and Restated 2018 Equity Incentive Plan and will vest as to 25% of the underlying shares on January 1, 2023, and thereafter, as to the remaining 75% of underlying shares, in 36 monthly installments, subject to the Reporting Person's continued service as an employee or other service provider to the Issuer through the vesting dates.
