| 1. On September 25, 2020, Act II Global LLC (the "Sponsor") dissolved and transferred an aggregate of 4,500,000 shares previously held by the Sponsor to the Sponsor's individual members, of which 156,000 shares were transferred to John Carroll. |
| 2. The securities were held by the Sponsor and indirectly by Mr. Carroll, who was the managing member of the Sponsor prior to the Sponsor's dissolution. Mr. Carroll disclaimed beneficial ownership of such securities except to the extent of his pecuniary interest therein. |
