Explanation of Responses:

1. Received in exchange for 1,000,000 shares of Ichorion Therapeutics, Inc. common stock in connection with the merger of Ichorion Therapeutics, Inc. into the Issuer. On September 25, 2018 the closing price of the Issuer's common stock was $4.55 per share. This transaction reports a disposition of shares to accurately reflect a working capital adjustment.

2. One fourth of the shares subject to the stock option will vest on the first anniversary of the date of grant, and the remaining three-fourths of the shares subject to the stock option will vest in equal monthly installments over the following 36 months.
