Explanation of Responses:

1. Grant to Reporting Person of 68,208 restricted stock units under shareholder approved benefit plan pursuant to Rule 16b-3(d).

2. Price is not applicable to acquisitions resulting from grants of restricted stock units.

3. On November 8, 2023, the Reporting Person filed a Form 4 reporting a grant of RSUs which inadvertently underreported the RSU grant by 5,000 due to a clerical error. This filing provides the correct number of RSUs and the corresponding direct holdings immediately following that transaction.
