1. This transaction is being amended to correct the number of shares gifted by the Reporting Person on this date.

2. Represents a gift of shares to three separate irrevocable family trusts. The Reporting Person's spouse serves as sole trustee for each of the three trusts.

3. This transaction was erroneously omitted from the Reporting Person's original Form 5.
