Explanation of Responses:

1. Prior to the reporting person becoming subject to the reporting requirements of Section 16, he gifted 65,094 shares to a trust over which he does not have investment control or pecuniary interest. Accordingly, such shares were not beneficially owned by the reporting person as of the date the Form 3 was originally filed, and this amendment is being filed to reflect the correct number of shares held by the reporting person as of October 23, 2018.
