1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock. The RSUs were awarded on January 25, 2022 and vest as follows: 3,486 on March 31, 2022; 3,486 on June 30, 2022; 3,486 on September 30, 2022; and 3,486 on December 31, 2022. Settlement of vested RSUs will occur as soon as administratively feasible following the applicable vesting date.
