1. 2,000 shares of restricted stock units which vest at a rate of 33.33% per year commencing on May 23, 2025.

2. Includes 2,000 shares of restricted stock that vest at a rate of 20% per year commencing on August 31, 2024. Also includes shares which were inadvertently omitted on the reporting person's prior Form 4, which had been previously reported.
