AMENDED AND RESTATED VALUATION SERVICES AGREEMENT
This AMENDED AND RESTATED VALUATION SERVICES AGREEMENT (this “Agreement”) is made on May 12, 2023 by and between Chatham Financial Corp., a Pennsylvania corporation (“Chatham Financial”), and Invesco Advisers, Inc., a Delaware corporation (the “Adviser”), on behalf of itself and as agent on behalf of Invesco Real Estate Income Trust Inc., a Maryland Corporation (“INREIT”).
WHEREAS, Invesco Advisers, Inc. is a registered investment adviser with the SEC and the adviser to INREIT in accordance with the terms of an advisory agreement (the “Adviser,” and together with INREIT, “Invesco”);
WHEREAS, INREIT is conducting (i) private offerings of its common stock pursuant to confidential private placement memorandums (as amended and supplemented from time to time, the “Memorandums”), and (ii) a public offering of its common stock pursuant to a registration statement on Form S-11 (as amended and supplemented from time to time, the “Registration Statement”), at prices based upon the net asset value (“NAV”) per share for each class of common stock being offered; and
WHEREAS, Invesco desires that Chatham Financial perform valuations of (a) the mortgage payables (“Property-Level Debt Valuations”) that encumber properties that INREIT owns or may in the future acquire (the “Debt Subject Properties”), (b) the entity-level debt of INREIT (the “Entity-Level Debt Valuations” and together with the Property-Level Debt Valuations, the “Debt Valuations”) and (c) mortgages, mortgage participations, mezzanine loans and other real estate-related debt receivables held by INREIT (the “Loan Valuations” and together with the Debt Valuations, the “Financing Valuations”), each in order to assist in the Adviser’s calculation of NAV; and
WHEREAS, Invesco and Chatham Financial are party to that certain Valuation Services Agreement, dated January 30, 2019, by and between Invesco and Chatham Financial (the “Original Agreement”) and desire to amend and restate the Original Agreement to, among other things, include Loan Valuations.
NOW, THEREFORE, in consideration of the foregoing and of the mutual covenants and agreements contained herein, the parties agree as follows:
1. SERVICES. Chatham Financial will perform services set forth below in accordance with INREIT’s valuation guidelines adopted by INREIT’s board of directors (the “Board”), as amended from time to time (the “Valuation Guidelines”):
(a) Perform Loan Valuations on a monthly basis as of the end of each calendar month and Debt Valuations on a staggered basis such that (i) the timing of the Debt Valuations will be approximately evenly distributed throughout each quarter and each year and (ii) each Debt Valuation will be performed at least once per calendar quarter. Financing Valuations will be delivered to Invesco promptly after such valuations become available.
