1. In connection with a Securities Purchase Agreement dated October 19, 2018, Mr. Cavanaugh acquired 50,000 shares of the Company's common stock. In connection with a Share Exchange Agreement dated October 19, 2018, Mr. Cavanaugh acquired 257,500 shares of the Company's common stock.

2. In connection with a Securities Purchase Agreement dated October 19, 2018, Mr. Cavanaugh received a warrant to purchase 50,000 shares of the Company's common stock.
