Explanation of Responses:

1. Subject to the Reporting Person's continuous service to the Corporation, 1/2 of the shares subject to the option vest upon shareholder approval of an increase in shares of common stock available for issuance under the Corporation's 2012 Stock Incentive Plan and 1/2 of the shares will vest 12 months after that date. In the event of death of the Reporting Person, all shares subject to the Option Grant will vest 100%.
