Explanation of Responses:

1. 599 shares were withheld from the 2,000 restricted shares that vested on May 28, 2019. These 599 ordinary shares represent the value of the taxes required to be withheld pursuant to applicable employment or tax laws, as determined by the Issuer. These 2,000 ordinary shares were awarded to Mr. Majors on May 28, 2015. These vested shares were valued at the NYSE closing market price on May 28, 2019.

2. 450 shares were withheld from the 1,500 restricted shares that vested on May 28, 2019. These 450 ordinary shares represent the value of the taxes required to be withheld pursuant to applicable employment or tax laws, as determined by the Issuer. These 1,500 ordinary shares were awarded to Mr. Majors on August 10, 2015. These vested shares were valued at the NYSE closing market price on May 28, 2019.

3. 14,520 of these ordinary shares are restricted. The restrictions on these ordinary shares lapse as follows: 3,000 on October 1, 2019; 2,500 on June 1, 2020; 6,500 on May 31, 2021; and 2,520 on May 31, 2022
