1. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

2. The RSU award vests ratably in two equal annual installments, with the first 50% vesting on March 7, 2026, subject to the Reporting Person's continued service to the Issuer through each applicable vesting date.

3. The RSU award vests ratably in three equal annual installments, with the first 33% vesting on March 7, 2026, subject to the Reporting Person's continued service to the Issuer through each applicable vesting date.
