Company overview

We are a biopharmaceutical company focused on the development and commercialization of a late-stage pipeline of novel therapies for debilitating liver diseases. We focus on diseases for which the unmet medical need is high and the biology for treatment is clear. Our pipeline consists of two clinical-stage product candidates with mechanisms of action that have potential utility across a wide range of orphan cholestatic liver diseases. We are initially developing maralixibat for the treatment of pediatric patients with Alagille syndrome, or ALGS, progressive familial intrahepatic cholestasis, or PFIC, and biliary atresia, or BA. Based on improvements in pruritus, or itching, and other outcomes and disease markers observed in Phase 2 clinical trials, we initiated a rolling submission of a New Drug Application, or NDA, for the treatment of cholestatic pruritus associated with ALGS in the third quarter of 2020. We expect to complete the rolling submission of our NDA in the first quarter of 2021 and we are planning for a potential launch in ALGS in the second half of 2021. We are also conducting the Phase 3 MARCH clinical trial in PFIC, for which we expect to complete enrollment in the second quarter of 2021 and announce topline data by year-end 2021. Further, we have conducted an initial analysis of our long-term treatment data in PFIC against a natural history control group in conjunction with the NAtural course and Prognosis of PFIC and Effect of biliary Diversion Consortium and have shared these results with regulatory authorities. Our marketing authorization application for the treatment of patients with PFIC2 has been accepted for review (validated) by the European Medicines Agency. We are planning to initiate a clinical trial in BA in the first quarter of 2021. We are developing volixibat for the treatment of adult patients with cholestatic liver diseases, including primary sclerosing cholangitis, or PSC, and intrahepatic cholestasis of pregnancy, or ICP. We expect to initiate clinical trials in both of these indications in the first quarter of 2021.

Our initial focus is on rare cholestatic liver diseases, including ALGS, PFIC, BA, PSC, and ICP. Cholestasis is characterized by impaired flow of bile resulting in accumulation of toxic bile acids in the liver. This leads to liver injury, progressive liver disease and, if left untreated, can result in fibrosis, cirrhosis, liver failure and death. The expected transplant-free survival rate in cholestatic ALGS at age 18 is approximately 25% and approximately half of PFIC patients will need a transplant by the age of ten. Patients with cholestatic liver disease typically experience debilitating pruritus, which dramatically impacts quality of life and can lead to scarring, sleep deprivation, significant fatigue and psycho-social effects. In some patients, intractable pruritus alone can justify liver transplantation. In ALGS, it has been reported that the majority of transplants are due to cholestatic symptoms. Other general manifestations of cholestatic liver diseases include jaundice, progressive liver disease and growth delay. Cholestatic liver diseases represent a significant unmet medical need, with no therapies approved by the U.S. Food and Drug Administration for treatment of the indications we are currently pursuing.

Recent developments

Oberland Royalty and Equity Transaction

In December 2020, we entered into a revenue interest purchase agreement, or the Oberland Revenue Interest Purchase Agreement, with Mulholland SA LLC, an affiliate of Oberland Capital LLC, and certain purchasers, pursuant to which the purchasers will pay us $50.0 million no later than December 30, 2020, less certain transaction expenses. Pursuant to the Oberland Revenue Interest Purchase Agreement, we may also be entitled to receive up to approximately $150.0 million in subsequent installments as follows: (i) $65.0 million if the U.S. Food and Drug Administration, or FDA, has accepted for review our NDA for maralixibat for the treatment of cholestatic pruritus associated with ALGS on or prior to a specified date; (ii) $35.0 million if the FDA has approved maralixibat as a treatment for ALGS on or prior to a specified date; and (iii) up to $50.0 million at the option of the purchasers to finance in-licenses or other acquisitions. As consideration for such payments, the purchasers will have a right to receive certain revenue interests from us based on annual net sales of our maralixibat product, once approved.

Concurrently with our entry into the Oberland Revenue Interest Purchase Agreement, we also entered into a common stock purchase agreement, or the Oberland Stock Purchase Agreement, with TPC Investments II LP, TPC Investments Solutions LP and TPC Investments Solutions Co-Invest LP, each of which is an affiliate of Oberland Capital LLC, pursuant to which we will sell and issue an aggregate of 509,164 shares of our common stock at a price per share of $19.64, which represents the average of the daily volume weighted average price per share of our common stock for the 30 trading days ending on the trading date immediately preceding, but not including, the date of the Oberland Stock Purchase Agreement, for an aggregate purchase price of $10.0 million, the closing of which shall occur simultaneously with the closing of the transactions contemplated by the Oberland Revenue Interest Purchase Agreement, or at such other time as agreed by both parties, with funding to occur no later than December 30, 2020.

Since inception, we have never declared or paid any cash dividends on our capital stock, and we do not anticipate declaring or paying, in the foreseeable future, any cash dividends on our capital stock. We intend to retain all available funds and future earnings, if any, to fund the development and expansion of our business, and we do not anticipate paying any cash dividends in the foreseeable future. As of September 30, 2020, we had a historical net tangible book value of $120.3 million, or $4.72 per share of common stock, based on 25,500,340 shares of common stock outstanding, including 289,455 shares subject to repurchase as of such date. Our historical net tangible book value per share represents total tangible assets less total liabilities, divided by the number of shares of common stock outstanding, including shares subject to repurchase at September 30, 2020.

After giving effect to the sale by us of 3,750,000 shares of common stock in this offering at the public offering price of $20.00 per share, and after deducting underwriting discounts and commissions and estimated offering expenses payable by us, our as adjusted net tangible book value as of September 30, 2020 would have been $190.3 million, or $6.50 per share. Company Overview

We are a biopharmaceutical company focused on the development and commercialization of a late-stage pipeline of novel therapies for debilitating liver diseases. We focus on diseases for which the unmet medical need is high and the biology for treatment is clear. Our pipeline consists of two clinical-stage product candidates with mechanisms of action that have potential utility across a wide range of orphan cholestatic liver diseases. We are initially developing maralixibat for the treatment of pediatric patients with Alagille syndrome, or ALGS, progressive familial intrahepatic cholestasis, or PFIC, and biliary atresia, or BA. Based on improvements in pruritus, or itching, and other outcomes and disease markers observed in Phase 2 clinical trials, we are planning to initiate a rolling submission of a New Drug Application, or NDA, for the treatment of cholestatic pruritus associated with ALGS in the third quarter of 2020. We expect to complete the rolling submission of our NDA in the first quarter of 2021 and we are planning for a potential launch in ALGS in the second half of 2021. We are also conducting the Phase 3 MARCH clinical trial in PFIC. Further, we have conducted an initial analysis of our long-term treatment data in PFIC against a natural history control group in conjunction with the NAtural course and Prognosis of PFIC and Effect of biliary Diversion Consortium and have shared these results with regulators. Based on feedback from regulators, we are preparing to submit a marketing authorization application for the treatment of PFIC2 to the European Medicines Agency in the fourth quarter of 2020. We are developing volixibat for the treatment of adult patients with cholestatic liver diseases, including primary sclerosing cholangitis, or PSC, and intrahepatic cholestasis of pregnancy, or ICP.

Our initial focus is on rare cholestatic liver diseases, including ALGS, PFIC, BA, PSC, and ICP. Cholestasis is characterized by impaired flow of bile resulting in accumulation of toxic bile acids in the liver. This leads to liver injury, progressive liver disease and, if left untreated, can result in fibrosis, cirrhosis, liver failure and death. The expected transplant-free survival rate in cholestatic ALGS at age 18 is approximately 25% and approximately half of PFIC patients will need a transplant by the age of ten. Patients with cholestatic liver disease typically experience debilitating pruritus, which dramatically impacts quality of life and can lead to scarring, sleep deprivation, significant fatigue and psycho-social effects. In some patients, intractable pruritus alone can justify liver transplantation. In ALGS, it has been reported that the majority of transplants are due to cholestatic symptoms. Other general manifestations of cholestatic liver diseases include jaundice, progressive liver disease and growth delay. Cholestatic liver diseases represent a significant unmet medical need, with no therapies approved by the U.S Food and Drug Administration for treatment of the indications we are currently pursuing.
