Explanation of Responses:

1. The securities were acquired under a Common Stock Purchase Agreement pursuant to which 500,000 shares of the issuer's common stock will be delivered to the Reporting Person when the initial payment is received and the remaining 500,000 shares of the issuer's common stock will be delivered upon receipt of the Reporting Person's second payment due on December 27, 2018.

2. The amount of shares beneficially owned reflects the correction of a typographical error in the Form 3 filed on November 26, 2018, which reported the total acquisition of 100 shares of the issuer's common stock when in fact 100,000 shares were acquired by the Reporting Person.
