Item 8.01. Other Events. *
On July 29, 2022, Alta Equipment Group Inc. (“Alta” or the “Company”) closed its acquisition of Yale Industrial Trucks Inc. (“YIT”), which was structured as a stock sale. YIT is a privately held Canadian equipment distributor with locations in Ontario and Quebec. The acquisition was completed pursuant to the agreement announced on July 6, 2022. The acquisition has an enterprise value of approximately $33.5 million. Alta acquired $2.0 million of real estate as part of the transaction. The purchase price is subject to certain post-close adjustments. YIT generated approximately $46.6 million in revenue and adjusted EBITDA of $9.4 million in the trailing twelve months through May 2022.
